These Terms of Service (the "Terms") form a binding agreement between you and Shifu Ventures India Private Limited ("Sana", "we", "us", or "our") and govern your access to and use of Sana, our meeting and task workspace product available at {{sana.shifuventures.com}} and any related services (together, the "Service"). These Terms are published by Shifu Ventures India Private Limited and apply specifically to the Sana product. Sana is operated by Shifu Ventures India Private Limited, incorporated in India under CIN U74999KA2023PTC170079, with its registered office at #No 230/2, 1st Floor, 15th Cross Road, Near Sampige Road, Malleshwaram, Bangalore, Karnataka, India - 560003.
By creating an account, clicking "I accept", or using the Service, you confirm that you have read these Terms, that you understand them, and that you agree to be bound by them. If you do not agree, do not use the Service.
Sana is a collaborative workspace that lets teams and individuals turn meetings into actionable work. It pulls meetings from connected calendar providers (currently Google Calendar) and lets attendees prepare agendas, capture next-step tasks, leave comments and notes, and route work to the right people across one or more workspaces.
We are continuously developing Sana. We may add, change, or remove features at any time. We will give reasonable advance notice of material changes that negatively affect your use of the Service, except where we need to act sooner to address a security issue, prevent abuse, or comply with law.
Sana may also be made available to your organisation under a custom URL chosen by your organisation (for example, sana.<yourcompany>.com). When this is the case, the Service is still operated by Shifu Ventures India Private Limited and these Terms apply uniformly.
You may use the Service only if:
If you are using Sana on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms, and "you" in these Terms refers to both you individually and that organisation.

We may suspend or terminate your account if we have reason to believe it is being used in violation of these Terms or applicable law.
Sana lets you connect your Google Calendar account through Google's OAuth flow. When you do this:
The same principle applies to any other third-party service we let you connect in the future — your use of those services is subject to their terms and privacy policies.

We may investigate any suspected violation of this Section 5 and take appropriate action, including suspending or terminating your account and removing offending content.
If you believe you have discovered a security vulnerability in the Service, please report it to {{team@shifuventures.com}} rather than testing further or disclosing it publicly. We commit to:
You retain all rights, title, and interest in the content you submit, upload, or generate inside Sana — including agendas, notes, comments, tasks, attachments, and any text or files you create ("Your Content").
To operate the Service, you grant Sana a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, and process Your Content, but only as needed to provide and improve the Service for you and the people you collaborate with. This licence ends when you delete Your Content or close your account, except to the extent we need to retain backup copies for a limited period as described in our Privacy Policy.
You are solely responsible for Your Content and for ensuring that it does not violate any law or any third party's rights.
Sana, including all software, designs, logos, trademarks, and all other materials we provide, is owned by Shifu Ventures India Private Limited and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. We reserve all rights not expressly granted.
You may not use our names, logos, or trademarks without our prior written permission.
If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you agree that we may use that Feedback for any purpose, without restriction or compensation to you.
The Service may be offered free of charge, on a paid subscription basis, or under a separate written agreement. If a feature is offered for a fee, we will display the price and applicable taxes before you commit. You authorise us to charge your designated payment method for all amounts due. Except where required by law or expressly stated otherwise, fees are non-refundable.
Where Sana is provided to your organisation under a separate written agreement (for example, an order form or master subscription agreement), the terms of that agreement prevail over these Terms to the extent of any conflict.
Our handling of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the practices described in the Privacy Policy.
We work to keep the Service available but we do not guarantee uninterrupted availability. The Service may be unavailable from time to time for maintenance, upgrades, or reasons beyond our reasonable control. We may add, modify, suspend, or discontinue all or any part of the Service at any time.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL CODE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. SANA IS A PRODUCTIVITY TOOL, NOT A SYSTEM OF RECORD; YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF IMPORTANT DATA.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SANA OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE THOUSAND INDIAN RUPEES (INR 1,000).
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING FOR DEATH, PERSONAL INJURY, OR FRAUD.
You agree to defend, indemnify, and hold harmless Sana, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service in breach of these Terms; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or any third party's rights.
This indemnity does not apply to claims caused by Sana's own gross negligence or wilful misconduct.
You may stop using the Service and close your account at any time by emailing {{team@shifuventures.com}}.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe that you have violated these Terms, that your use of the Service poses a security or legal risk, or if we discontinue the Service.
On termination, the licences granted to you in these Terms end immediately. Sections that by their nature should survive termination — including Sections 7 (your content licence to us, with respect to copies in backups), 8 (intellectual property), 12 (disclaimers), 13 (limitation of liability), 14 (indemnification), 16 (governing law and disputes), and 18 (general) — will survive.
These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. The courts located in Bangalore, Karnataka, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts.
Before filing a claim, you agree to first contact us at {{SUPPORT_EMAIL}} and try to resolve the dispute informally. We will attempt to resolve any dispute through good-faith negotiations within 30 days of receiving your notice.
We may update these Terms from time to time. When we make material changes, we will:
Your continued use of the Service after the change takes effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced in them, constitute the entire agreement between you and Sana regarding the Service and supersede any prior agreements on the same subject.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
Force majeure. We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, accidents, network or power failures, or third-party service outages.
No agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Sana.
Notices. We may give notices to you by email to the address on your account, by posting on the Service, or by any other reasonable means. You must give notices to us in writing at the address in Section 19.
